A leading US law firm in downtown Manhattan is seeking a Sr Paralegal for their Investment Management group.
JOB SUMMARY: Provide a high level of quality legal assistant blue sky research and filing service. Prepare and submit various SEC and blue sky filings related to private placements of securities, assist clients with various corporate and securities related substantive issues’ including discussions with the Blue Sky Attorney to ensure the information to be provided to the client is accurate. Complete all of his or her assigned filings and provide the status of the filings to the Legal Assistant Manager. Under the supervision of the Legal Assistant Manager and Blue Sky Attorney, training the Legal Assistants as to how to incorporate Form D and blue sky filings on the client management system, and training legal assistants as to how to make EDGAR filings.
JOB RELATIONSHIPS: Report to the Legal Assistant Manager. Interact daily with attorneys, legal assistants, administrative staff, clients, vendors, peers and other members of Firm management.
•Blue Sky Research and Filings: Prepare and file SEC FORM D, notices, blue sky, and various EDGAR filings, with a focus on Section 13 and Section 16 filings. Be familiar with EDGAR filings made on behalf of
our Capital Markets Group. Assist clients with name searches, formations, qualifications, amendments, and cancellations of various entities with an emphasis on Limited Partnerships and Limited Liability Companies.
Apply for EDGAR codes on behalf of the funds and our clients. Apply for Employer Identification Numbers and file various IRS forms on behalf of our clients. Monitor NYS Legislation to keep aware of the latest
changes to statutes and/or bills that would affect our practice or our clients. Monitor Rule 506 legal research conducted by the legal assistants on a monthly basis for all states. Be responsible for the timely
filing of all Forms D and blue sky filings for our clients.
•Training: Participate in training for all new legal assistants as well as any remedial assistance requested or required. Assist in updating the Legal Assistant Manual and the EDGAR Instructional Manual.
•Experience: Has performed as a Senior Legal Assistant for 5 plus years in a law firm environment.
•Education: Bachelors Degree or comparable work experience.
•Skills and Abilities: Ability to effectively interact and communicate, both verbally and in writing, with legal and administrative staff. Possess effective decision making and problem solving skills. Ability to
work both independently and as part of a team. Resourceful, detail oriented and proactive to the needs of the position. Work effectively in a customer service oriented and deadline sensitive work environment.
Possess a high level of integrity and ability to maintain confidentiality and discretion at all times. Demonstrate willingness and ability to train other legal assistants.
•Technological Skills: Proficiency with various computer software programs such as Outlook, Word and Excel, EDGAR filings.
