Job Description:

RESPONSIBILITIES INCLUDE but are not limited to:

· Taking a team-focused and collaborative approach to:

o Supporting attorneys advising premier private equity clients in connection with the organization of some of the world’s largest and most prestigious funds

o Communicating with clients, lawyers, corporate service companies and government agencies on a regular basis

o Developing a strong practice area knowledge, assisting with business development efforts and contributing to general and practice specific trainings

o Developing professional relationships with clients

· Working in a detail-oriented and organized manner to:

o Prepare, revise and maintain various fund-related documents, including investor subscription documents, securities filings, side letters and tax forms

o Manage entity formation processes and draft, review and organize corporate governance documents; prepare AML and FINRA filings

o Act as gatekeeper of World Sky marketing materials, share with local counsel

o Facilitate fund closings, including by maintaining closing checklists and drafting closing notices to investors

Job Requirements:


· Minimum five years experience in a corporate law environment

· Energetic and enthusiastic about expanding knowledge of the private equity industry

· Excellent interpersonal skills, oral and written communication talents, professional manner for client interactions

· Ability to take ownership of professional responsibilities and meet deadlines with minimal oversight and direction

· Strong attention to detail and excellent organizational skills

· Ability to prioritize and complete multiple tasks under time constraints

· Ability to work overtime, to travel when needed, to work from home during restricted periods, and to work from NY office when restrictions are not in place

· Proficiency with Microsoft Office applications

· Bachelor’s degree from an accredited school
