Job: Private Equity/Debt Paralegal

An internationally known law firm is looking for a Private Equity/Debt Paralegal for their NY office.

The Paralegal will assist the attorneys with all aspects of leveraged finance and private equity transactions, as well as corporate acquisition and sales transactions.
Duties will include: drafting officer certificates, board and shareholder resolutions and side letters; conducting lien searches and preparing summaries; ordering and reviewing certificates of good standing and corporate charters; preparing UCC filings; drafting closing agendas and organizing closing documents; tracking and organizing signature pages; coordinating closing mechanics; preparing and delivering closing binders; and, assisting with Blue Sky filings.
Duties may also include: entity formation; ongoing corporate maintenance; drafting board minutes and maintaining minute books. Experience on both borrower and lender side of leveraged finance transactions preferred, but not required.

A Bachelor’s degree and 1+ years of experience as a corporate paralegal is required.

The successful candidate will have strong organizational and communication skills, be capable of handling multiple responsibilities, and be able to work well in a team oriented environment.
