Corporate Paralegal
Job Description:
PRIMARY RESPONSIBILITIES
Actively contribute to corporate practice group initiatives, help find ways to improve the group and contribute to its success, and participate in on-going training programs;
Prepare and file documents for entity formations, mergers, conversions, amendments, foreign qualifications and dissolutions in various jurisdictions
Draft initial organization documents and company agreements
Coordinate state filings and good standings
Coordinate and review corporate searches
Conduct corporate due diligence investigations, including on-line research of legal and non-legal data transactions
Prepare corporate resolutions, including annual meetings, director and officer changes, related to transactional matters
Prepare and organize closing documents, officer certificates, schedules and signature packages
Assist with corporate minute book maintenance and other entity lifecycle document preparation
Prepare and file final annual reports in connection with conversions, mergers and dissolutions
Prepare and file UCC financing statements
Prepare and file IRS forms (SS-4, 8832, 2553, 2848, W-9, 8821, 8822-B)
Prepare and file SEC forms ID and D
Prepare audit response letters
Perform other related duties.
Job Requirements:
QUALIFICATIONS
1-2 years of experience at a Corporate Law Firm
Knowledge of Microsoft Office (including Excel, PowerPoint and OneNote)
Ability to analyze, summarize and organize documents carefully and with attention to detail
Ability to work both independently and as a team player
Excellent interpersonal skills and ability to communicate professionally and courteously
Ability to perform high-quality work in a fast-paced environment
Proactive in the search for solutions and the next steps
Available to work outside regular hours on occasion and comfortable working in a fast paced, transactional environment
